Name Availability & Requirements

The requirements for naming an LLC within the state are set forth in Ark. Code § 4-32-103. The name of the LLC must contain the words "Limited Liability Company" or "Limited Company" or the abbreviations "L. L. C.", "L. C.", "LLC", or "LC". The word "Limited" may be abbreviated as "Ltd." and the word "Company" may be abbreviated as "Co.". The name must be distinguishable from those of all other entities on file with the state. It may not infringe on any active trademark or service mark registered with the state or the U. S. Patent and Trademark Office. One may search online Arkansas's trademark database and the USPTO's trademark database.

One may determine the availability of a proposed business name for use within Arkansas by querying Arkansas's business entity database. As a general proposition, the state will consider a proposed business name available if the first two words of the name do not match the first two words of that of any other entity authorized to conduct business within the state.

Statutory Authority & Requirements

The statutory authority for an LLC within Arkansas is the Small Business Entity Tax Pass Through Act (Ark. Code § 4-32-101 et seq.).

The statutory requirements for a valid articles of organization filing are codified in Ark. Code § 4-32-202. The text of the statute reads as follows:

§ 4-32-202. Articles of organization. The articles of organization shall set forth: (1) A name for the limited liability company that satisfies the requirements of § 4-32-103; (2) The information required by § 4-20-105(a); and (3) If management of the limited liability company is vested in a manager or managers, a statement to that effect.

§ 4-20-105. Appointment of registered agent. (a) A registered agent filing must state: (1) the name of the represented entity's commercial registered agent; or (2) if the entity does not have a commercial registered agent, the name and address of the entity's noncommercial registered agent: (A) the name and address of the entity's registered agent; or (B) the title of an office or other position with the entity if service of process is to be sent to the person holding that office or position, and the address of the business office of that person.
