    About this Form

    An articles of organization form is the document that one must complete and submit to the state to establish the creation of an LLC within the State of Arizona. It sets forth the name of the proposed company, the registered agent for service of process, and the address of the place of business, among other information.     Accepted Filing Methods

    Arizona accepts the filing of the articles of organization via mail or electronic filing.

    Name Availability & Requirements

    The requirements for naming an LLC within the state are set forth in ARS § 29-602. The name must contain the words "limited liability company" or "limited company" or the abbreviations "L.L.C.", "L.C.", "LLC" or "LC", in uppercase or lowercase letters. The name must be distinguishable from those of other entities on file with the state and may not infringe on any registered trademark. The name may not contain the words "association", "corporation" or "incorporated" or an abbreviation. If the name contains the words "bank", "deposit", "credit union", "trust", "trust company" or words of similar import, the organizer must obtain prior written approval from the Arizona Department of Financial Institutions before registration is allowed.

    One may determine the availability of a proposed business name for use within Arizona by querying the Arizona Corporation Commission's Business Entity Search tool or the Secretary of State's Business Entity Search tool.

    Required Fees

    Arizona imposes a fee of $50 for the filing of an articles of organization form. An expediting service is available for an additional $35, although paying this additional fee does not result in a commitment for same-day or next-day service.

    Statutory Authority & Requirements

    The statutory authority for an LLC within the state is Title 29, Chapter 4, Arizona Limited Liability Company Act (ARS § 29-601 et seq).

    The statutory requirements for a valid articles of organization filing are set forth in ARS § 29-632. The text of the statute reads as follows:

    § 29-632 Articles of organization

    A. The articles of organization shall state:
    1. The name of the limited liability company.
    2. The name, street address in this state and signature of the agent for service of process required to be maintained by section 29-604.
    3. The address of the limited liability company's known place of business in this state, if different from the street address of the company's statutory agent.
    4. The latest date, if any, on which the limited liability company must dissolve.
    5. Either of the following statements:
    (a) Management of the limited liability company is vested in a manager or managers.
    (b) Management of the limited liability company is reserved to the members.
    6. The name and address of either of the following:
    (a) If management of the limited liability company is vested in a manager or managers, each person who is a manager of the limited liability company and each member who owns, either separately or as a co-owner with others, a twenty per cent or greater interest in the capital or profits of the limited liability company.
    (b) If management of the limited liability company is reserved to the members, each person who is a member of the limited liability company.
    B. The articles of organization may include any other provision that is consistent with law, including any provisions under this chapter that are required or permitted to be set out in an operating agreement of the limited liability company.
    C. It is not necessary to set out in the articles of organization any of the powers enumerated in this chapter.
