Name Availability & Requirements

The requirements for naming an LLC within the state are set forth in O.C.G.A. § 14-11-207. The name of the LLC must contain the words "limited liability company" or "limited company" or the abbreviation "L.L.C.", "LLC", "L.C." or "LC". It is permitted to abbreviate the word "limited" as "ltd." and the word "company" as "co.". The name must be distinguishable from those of all other entities on file with the state, may not infringe on any registered trademark, and may not exceed 80 characters in length, including spaces and punctuation.

One may determine the availability of a proposed business name for use within Georgia by querying the state's official Business Search tool.

Required Fees

Georgia imposes a fee of $100 for the filing of the articles of organization, plus a $10 filing service charge if mailed. Two business day expedited service is available for an additional $100 fee, same-day service for an additional $250 fee, and one-hour service for an additional $1000 fee.

The statutory requirements for a valid articles of organization filing are codified in O.C.G.A. § 14-11-204. The text of the statute reads as follows:

§ 14-11-204. Articles of organization

(a)  The articles of organization shall set forth the name of the limited liability company, which name must satisfy the requirements of Code Section 14-11-207.
(b)  The articles of organization may set forth:
(1)  That management of the limited liability company is vested in one or more managers; and
(2)  Any other provisions not inconsistent with law.
