A certificate of formation, known in other jurisdictions as the articles of organization, is required by the organizer(s) in order to establish the entity within the state. Certificate of Formation Filing Requirements:

(1) Document Formatting Requirement: The certificate must be printed on 8.5” x 11” paper with 1” margins. The presence of corrective fluid, pencil, or erasable ink on the form is a basis for rejection.

(2) Name of Entity: In accordance with the requirements of RSA 304-C:32, the name of the LLC must contain one of the following designations: "Limited Liability Company", "L. L. C.", "L. L. C."" or "LLC".

(3) Statement of Purpose: In accordance with the requirements of RSA 304-C:21, the certificate of formation state the primary nature of the business, such as “sales and manufacturing of disposable products” or “software consulting and development.” The state will not accept a general clause of “any lawful activity” unlike the vast majority of U. S. states.

(4) Registered Agent Address: In accordance with the requirements of RSA 304-C:36, the filing must indicate the registered agent and registered office associated with the LLC, and this address must be a physical street address. The agent must reside within New Hampshire. The registered agent is the person who can receive service of process in the event that the LLC is sued or if the state issues a tax lien against it. The registered office is the registered agent’s business address where he or she can receive delivery of in-hand service of process.

(5) Statement of Management: The certificate of formation must state whether management is vested in a manager (or managers).

(6) Disclosure of Role of Signer: The title and printed name of the individual who is signing the certificate of formation must be indicated on the form, such as “manager” or “member.”

(7) Fee: The filing must include a payment of $100.00 to cover the fee required for the creation of an entity within the state.
