Read this before you rely on it

The covenant has no sunset — for genuine trade secrets that mirrors trade-secret law itself, which protects information for as long as it stays secret. Two clauses deserve a read before you buy. The return-of-materials clause is total: at termination the employee gives back all documents and property — drawings, blueprints, reports, manuals, correspondence, customer lists, programs — and keeps no copies, notes, or abstracts. And the notice clause lets the company tell a future or prospective employer that this agreement exists — a real deterrent against carrying secrets to a competitor, and a clause to administer carefully, without defamation or interference. What this instrument deliberately does not do: it assigns no inventions and imposes no post-employment work restriction — that is non-compete territory, which is a separate instrument and a state-by-state question.
